CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement (the "Agreement") is made and entered into as of the date of acceptance by the user ("User") of the website [Your Business Name] ("Company"), in order to protect the confidentiality of information provided by and to the Company in connection with its accounting, tax preparation, and business consulting services.
1. Confidential Information
For purposes of this Agreement, "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by the Company to the User or vice versa. This includes, but is not limited to:
Financial statements, tax records, payroll data, and business plans.
Client lists, contact details, and personally identifiable information (PII).
Any discussions, documents, or electronic communications related to financial or business matters.
2. Obligations of the Parties
Both the Company and the User agree to:
Maintain the confidentiality of all Confidential Information and not disclose it to any third party without written consent.
Use Confidential Information only for the intended purpose of engaging with the Company’s services.
Implement reasonable security measures to prevent unauthorized access, disclosure, or misuse of Confidential Information.
3. Exclusions from Confidentiality
Confidential Information does not include information that:
Is publicly available at the time of disclosure or becomes publicly available through no breach of this Agreement.
Is lawfully obtained from a third party without confidentiality obligations.
Is required to be disclosed by law, regulation, or court order, provided the disclosing party is given prompt notice to seek protective measures.
4. Duration and Termination
This Agreement remains in effect for as long as Confidential Information is shared between the parties and for a period of five (5) years thereafter. Obligations of confidentiality survive the termination of any engagement between the parties.
5. Breach and Remedies
Any unauthorized disclosure or use of Confidential Information may result in legal action, including but not limited to injunctive relief, damages, and attorney’s fees.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company operates, without regard to its conflict of law principles.
7. Acknowledgment and Acceptance
By accessing and using the Company’s website and services, the User acknowledges and agrees to the terms of this Confidentiality Agreement.
